SUNCHIPS "GREEN EFFECT" CONTEST OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

THE FOLLOWING CONTEST IS INTENDED FOR PLAY IN THE UNITED STATES ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT ENTER THIS CONTEST IF YOU ARE NOT LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.

The objective of the SunChips® "Green Effect" Contest (the "Contest") is to provide an opportunity for contestants to share their Green Idea, which is an environmentally-friendly project that would help their local environment and community ("Green Idea"). Five (5) winners will each receive a cash prize to be used towards executing their respective Green Ideas. See below for details.

1. CONTEST TIMING: The Contest Entry Period begins at 10:00:00 a.m. Eastern Time (ET) on April 22, 2009 and ends at 5:00:00 p.m. ET on June 8, 2009 ("Contest Entry Period"). The Contest Voting Period begins at 10:00:00 a.m. ET on July 7, 2009 and ends at 5:00:00 p.m. ET on July 20, 2009 ("Contest Voting Period").

2. ELIGIBILITY: Contest is open only to legal residents of any of the fifty (50) United States or the District of Columbia, who are 18 years of age or older at the time of entry. Organizations or groups located in the United States or District of Columbia are also eligible to enter. The individual entering on behalf of the organization must be a legal resident of any of the fifty (50) United States or District of Columbia who is 18 years of age or older at the time of entry. The following persons are not eligible to participate: Employees, contractors, directors, and officers of Frito-Lay, Inc. ("Sponsor"), the National Geographic Society, each of their respective parents, subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Contest (collectively, "Promotion Parties"), and the immediate family members of each (spouse, parent, child, sibling, grandparent, and or "step" of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest).

3. TO ENTER: Visit greeneffect.nationalgeographic.com (referred to as "Web site"), during the Contest Entry Period, and click on the Contest icon, banner or text link to access the Contest registration page. Then provide your name, organization/group name (if applicable), complete address, daytime phone number and email address, and input your essay (as described below) (the "Entry"). You must submit an essay describing your Green Idea and how it would create a positive change to your local environment and community ("Essay"). Your Essay must include the following: Project description, location, timing, and how the prize money of $20,000.00 would be used if you are selected as a winner (subject to verification). Your Essay must be in English and contain a minimum of 100 words and no more than 250 words. Once your Essay is input in its entirety, follow the online instructions for submitting the Entry. All Entries must be received and recorded within the Contest Entry Period. The Web site administrator's computer is the official timekeeping device for this Contest. Limit one (1) Entry per person/email address during the entire Contest Entry Period. Sponsor is not responsible for late, lost, misdirected or incomplete Entries.

3a. OPTIONAL ENTRY ADDITIONS: In addition to your Essay Entry, you may submit photographs and/or a video to help describe your Green Idea. Follow the online instructions to upload your photograph(s) and/or video in accordance with these guidelines:

Photograph Guidelines: You may submit up to a maximum of four (4) photographs. Photographs must be submitted in a jpeg format; minimum of 1,000 pixels; and a maximum size of 5 MB for each photograph.

Video Guidelines: You may submit a video not to exceed three (3) minutes in length. Your video must be in one of the following formats: .flv, .wmv, .asf, .avi, .mov, .3gp, .mpg, .mpeg, or .mp4 format; 100 MB limit.

Hereinafter "Entry" will collectively refer to the entrant's entire submission; Essay only or Essay and photograph(s) and/or a video.

Profile Photograph: Entrant may submit a photograph of himself/herself to appear on the Web site next to his/her Entry. The photograph should contain a profile shot (head shot/side view) of Entrant only. A profile photograph is not required and will not be judged. Profile photographs must be submitted in a jpeg format; minimum of 1,000 pixels; and a maximum size of 5 MB.

4. SUBMISSION GUIDELINES: Entries cannot defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other people, products or companies or communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate. Sponsor reserves the right to and will, monitor or screen Entries prior to posting them to the Web site. By entering, you acknowledge that your Entry may be posted on the Sponsor's Web site, in Sponsor's sole discretion, Sponsor has no obligation to use or post any photograph or Entry you submit. Sponsor shall have full right and power to copy, publish, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse and adapt any or all portions of the Entries in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose. Entries that are not in accordance with the guidelines as stated herein or are not received during the Contest Entry Period will be ineligible. Entries cannot (a) be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity; (b) promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) be obscene or offensive, endorse any form of hate or hate group; (d) contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (e) contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in Web sites, television, movies or other media) without permission; (f) contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; and (g) depict, and cannot itself, be in violation of any law. By submitting an Entry you warrant and represent that it: (a) is your original work, (b) has not been previously published, (c) has not received previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtained permission from a person who's name, likeness or voice is used in the Entry, if any, and (f) and that publication of the Entry via various media including Web posting, will not infringe on the rights of any third party rights. Any such entrant will indemnify and hold harmless, Sponsor and Promotion Parties from any claims to the contrary. Any entrant whose Entry includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Sponsor's use of such entry, in a form satisfactory to Sponsor, upon request, prior to award of prize and/or naming of entrant as a Finalist. Any Entry that, in the sole opinion of Sponsor, is deemed to be inappropriate for publication is ineligible. Incomplete, illegible, false, deceptive or garbled Entries are not eligible. Multiple Entries received from any person will void all Entries submitted by the entrant for the entire Contest Entry Period. In the event of an identity dispute, Entry will be considered made by the registered owner of the email address used for entry. "Registered owner" is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. All Entries become the sole property of the Sponsor, and will not be acknowledged or returned. By submitting an Entry, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, that Sponsor is free to disclose or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you.

5. CONTEST JUDGING: Entries will be judged by an independent judging agency, whose decisions are final and binding in all matters relating to this Contest. Entries containing photographs and/or a video will be judged as a whole. Entries will be judged on the following equally weighted criteria:

• Alignment with SunChips® brand's philosophy of "Small steps add up to meaningful progress and positive change." (up to 25 points);
• Perceived benefit to the environment (up to 25 points);
• Perceived impact on the local community (up to 25 points); and
• Perceived feasibility/Use of prize funds (up to 25 points).

Ten (10) Finalist Entries ("Finalists") will be determined by highest cumulative points for all criteria awarded by the judges. A minimum of fifty (50) points is required for any entry to be eligible to be deemed a Finalist and/or win a prize. In case of a tie, tied Entries will be broken by cumulative points awarded for "Alignment to brand's philosophy". If tie continues, then tie(s) will be broken by the Entry with highest cumulative point score in the second criteria, continuing thereafter to each judging criteria in order, as needed, to break the tie. Finalists will be determined between June 9, 2009 and July 6, 2009 from all eligible Entries received.

6. THE TEN (10) FINALISTS: Each of the ten (10) Finalists will be awarded a camcorder (as stated in Rule #8) and will be required to record himself/herself reciting answers to a list of questions from the Sponsor regarding his/her Green Idea. Recordings must be taken utilizing the camcorder awarded and recorded against a white background showing only the entrant's shoulders and head. No special effects, supers or any other kinds of visual treatments allowed. (Hereinafter referred to as "Sponsor's Required Video"). Recordings must be emailed to Sponsor within Sponsor's specified time period and otherwise comply with the requirements set forth herein or Finalist status may be forfeited and an alternate winner selected. Sponsor will provide the list of questions and detailed instructions regarding the deadline and method for submitting the Sponsor's Required Video, upon Finalist notification. All Sponsor's Required Videos submitted by Finalists are subject to the same submission guidelines as Entries, as set forth in these Official Rules.

7. CONTEST VOTING / SECOND ROUND OF JUDGING: Each Finalist's Entry and Sponsor's Required Video will be posted on the Web site. During the Contest Voting Period, visitors to the Web site who are legal residents of any of the fifty (50) United States or the District of Columbia and are 18 years of age or older, will be able to register and vote for the Entry they believe is the best idea. Limit one (1) vote per person and/or email address per day during the Contest Voting Period. Any use of robotic, macro, automatic, programmed or like voting methods will void all such votes. Any attempt by Finalist and/or his/her family/friends to vote more than the number of times authorized herein using multiple names or email addresses and/or any other fraudulent mechanism, as determined by Sponsor in its sole discretion, shall give Sponsor the right to disqualify Finalist in its reasonable discretion. Simultaneously, Finalists' Entries and Sponsor's Required Video will be entered into a Second Round of Judging to be conducted by a panel of qualified judges determined by Sponsor in its sole discretion. This new panel of judges will re-judge the Finalists' Entries and Sponsor's Required Video based on the criteria and tie-breaking methodology as outlined in Rule #5. The first winner will be determined by the Entry and Sponsor's Required Video with the highest number of online votes. Four (4) of the five (5) Contest winners will be determined by the highest cumulative points for all criteria awarded by the new panel of judges that has not already been deemed a winner by the online voting. The winners will be notified by mail or overnight mail on or about July 21, 2009. ENTRIES POSTED TO THE WEB SITE WILL NOT BE EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants, its Entry and Sponsor's Required Video will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Entry and Sponsor's Required Video, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winners hereby waive in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that winner may now or later have to their Entry and Sponsor's Required Video. Sponsor reserves the right to alter, change or modify the winning Entries and Sponsor's Required Videos, in its sole discretion. Upon request of Sponsor, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Entry and Sponsor's Required Video and of the copyrights transferred and "Moral Rights of Authors" waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request the assignment. Further, Sponsor may request from winner, that the winner secure from any model(s) or videographer an irrevocable assignment and transfer to Sponsor all of any model(s) or videographer's right, title and interest in and to the winner's Entry and Sponsor's Required Video, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. The model(s) or videographer may be required to waive in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that the model(s) or videographer may now or later have in the Entry and Sponsor's Required Video. Should Sponsor fail to request the said model(s) assignment or videographer assignment as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request the assignment(s).

8. PRIZE DETAILS: Contest Prizes (5): Five (5) winners will each receive; one (1) $20,000.00 prize (to be awarded in the form of a check or wire transfer, payable to winner) to be used by the winner to implement the winner's Green Idea; each winner will be asked to participate in one (1) or more Promotional Events as outlined herein; winner will receive one (1) trip for himself/herself and a guest to highlight their Green Idea. Trip consists of round-trip coach air transportation (from gateway city nearest winner's U.S. home), to a location selected by Sponsor, one (1) double-occupancy hotel accommodations for one (1) night, and an invitation to an event where winner will have the opportunity to discuss his/her Green Idea. Travel location and dates to be determined by Sponsor, in Sponsor's discretion, at a later date. Selection of airline and hotel are solely within Sponsor's discretion. Trip must be taken on dates specified by Sponsor. Travel and accommodations are subject to availability and change. All other costs and expenses associated with the Contest Prize and not specifically described herein including meals, luggage fees, incidental hotel charges and any other travel-related expenses, are the sole responsibility of the winner or winning organization/group. If a Contest Prize is won by an organization/group, the organization/group may select one (1) individual and a guest to accept the trip portion of the prize. If winner or representative of a winning organization/group is a minor in his/her jurisdiction of residence he/she must travel with his/her parent/legal guardian who will be deemed a guest. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor's parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver's license) required for travel. Winner and travel guest must travel on same itinerary. Approximate Retail Value (ARV): $21,200.00 each. Actual value of trip may vary based on point of departure and airfare fluctuations. Any difference between stated approximate retail value and actual value of Prize will not be awarded. Winner must be able to attend interviews and at trip event in order to be deemed a winner, if winner is unable or does not agree to attend prize will be forfeited. Finalist Prizes (10): Pure Digital Flip Video Ultra Series Camcorder, Model F260B. ARV: $149.99 each. Total ARV of all Prizes is $107,499.90. Finalists and/or winners and their Entries may be featured in an edition of National Geographic. Winners/Finalists must accept all Prizes as stated or Prizes may be forfeited and awarded to an alternate winner. If winner is an eligible minor in his/her state of residence, Prize will be awarded to the winner's parent or legal guardian who will be responsible for completing and returning all required documents as stated herein. Limit one (1) Contest Prize per person/household/family/organization/group. Limit one (1) Finalist Prize per person/household/family/organization/group.

9. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from entrant's participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with the Contest. No responsibility or liability is assumed by the Sponsor or the Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: Hardware or software errors; faulty computer, cable, satellite, network, electronic, Internet connectivity or other online or network communication problems; errors or limitations of any Internet service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Web site in whole or in part for any reason; traffic congestion on the Internet or the Web site; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. Sponsor and Promotion Parties are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Entries, Sponsor's Required Video or votes or the tabulating of votes, the announcement of the prizes or in any Contest-related materials. Use of Web site is at user's own risk. Sponsor and Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment or phone resulting from participation in the Contest.

By participating in the Contest, entrants agree (and agree to confirm in writing) (a) to release Sponsor and Promotion Parties from any and all claims, damages or liabilities arising from or relating to such entrant's participation in the Contest; (b) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs. By accepting any Prize, (a) recipient agrees that the Sponsor and Promotion Parties, participating retailers, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Contest; from acceptance, possession, misuse or use of any Prize and (b) recipient grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and those acting under Sponsor's authority the right to the use of his/her name, photograph, likeness, voice, image, statements, biographical information, and Entry and/or Sponsor Required Video (which may be altered, changed, modified, edited, used alone or with other works, as solely determined by Sponsor) at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation, unless prohibited by law. Sponsor is not liable in the event that any portion of the Contest is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a "Force Majeure Event").

10. GENERAL CONDITIONS: Winners are solely responsible for any taxes on the Prize, and will receive an IRS Form 1099 for the ARV of the Prize, if applicable. No substitution of Prize is offered, except at the sole discretion of the Sponsor. No transfer of Prize is permitted. Unclaimed prizes will not be awarded. If a Prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute Prize with another prize of equal or greater value. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, and disqualify and individual who is responsible for such action. If terminated, Sponsor may, in its sole discretion, determine the winners from among all eligible Entries received up to time of such action using the judging procedures outlined herein. This Contest is offered only in the United States and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of Texas, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts for Collin or Dallas Counties, Texas.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

11. CONDITIONS APPLICABLE TO WINNERS: By accepting a prize, for no additional compensation or consideration, Winners grant to Sponsor the right to use their names, nicknames, initials, facsimile signatures, photograph, likeness, biographical information and/or endorsement in connection with the advertisement and promotion of this Contest and winner's Green Idea. Winners shall participate in one (1) or more Promotional Events as reasonably requested by Sponsor. For the purpose of these Official Rules, a "Promotional Event" is any event or activity sponsored by Sponsor, including but not limited to: interviews, whether live, taped, print, broadcast; TV/Radio events; satellite media tours, video news releases, audio news releases, TV shoots, recording sessions, photo sessions; event appearances and other engagements.

12. FINALIST/WINNER NOTIFICATION: Finalists/winners will be notified by phone, mail and/or email. If attempted notification is returned as undeliverable, if Finalist/winner cannot be verified or if Finalist/winner is otherwise unable to accept the Prize as stated, Prize will be forfeited and may be awarded to an alternate Finalist/winner. Finalists and winners will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, Publicity Release within fourteen (14) days of Prize notification. If any required Finalist documents, winner's documents or Sponsor Required Video are not returned, as stated by Sponsor, within the required number of days, or if mail is returned to Sponsor as undeliverable mail without a forwarding address, the Prize may be forfeited and an alternate Finalist/winner may be selected at Sponsor's discretion.
